Compliance Specialist (FinTech)
ATAS is a professional platform for financial market, trading volume and order flow analysis. We develop an analytics product for traders and work with brokers, prop trading firms, technology providers and marketing partners.
Our volume of contracts and business projects is growing. We are looking for a lawyer to take ownership of international commercial contracts and legal support for projects — from clarifying the brief and commercial model through to signing and performance of the agreed obligations.
You should understand counterparties' business models and help the project owner clarify the proposed arrangement, assess risks and find a workable solution. Personal trading experience is not required. Our existing team and external advisers handle corporate and tax matters; these are not the core of this role.
What you will do
- International commercial contracts. Draft and manage partnership, agency, referral, integration, marketing and contractor agreements. Propose structures that reflect the economics of each arrangement and account for tax and regulatory risks. Work with revenue sharing, SLAs, data and software rights, and restrictions on their use.
- Counterparty contracts and negotiations. Review English-language documents governed by foreign law, prepare amendments and negotiate them with counterparties' legal teams through to signing. Maintain agreements for our distributed team across jurisdictions in line with the group's structure and business model.
- Legal support for projects. Get involved early in new products, features, monetisation models, partnership programmes and marketing campaigns. Help the business clarify its requirements, prepare user agreements, terms of use and other necessary documents, and support each project through to completion.
- Regulatory matters and compliance. Assess partners' regulatory status and how their activities affect ATAS's legal position. Analyse the boundary between an analytics product and an investment service, and document the legal position. Maintain the existing sanctions screening process. Address complex issues in advertising and public materials and develop guidance for Marketing; an internal tool handles the initial content review.
- External advisers and processes. Engage specialist advisers when needed on particular jurisdictions, corporate matters and intellectual property: define the brief, assess their conclusions and turn them into practical decisions. Help organise templates, registers and the contract approval process.
What you will bring
- Education and experience. A law degree and at least 4 years of experience with commercial contracts, including at least 2 years working on English-language agreements governed by foreign law. Experience supporting product and partnership projects, not just individual documents.
- Industry understanding. Experience providing legal support to brokerage, prop trading, tradetech or adjacent fintech projects. You should understand these business models and the contractual and regulatory issues arising in relationships between companies. We will assess adjacent experience, including iGaming, based on the substance of the projects involved.
- Contractual and regulatory practice. Knowledge of EU law and a practical understanding of MiFID II and MiCA. Experience in sanctions compliance and KYC/AML. Confidence working with liability caps, indemnities, data and software licences, rights to work product, revenue-share calculations, termination and its consequences.
Nice to have
Experience with financial regulators, partnership programmes and influencer marketing in a related industry; building contract processes; corporate structuring, IP and trademarks. Experience with chargebacks, Visa/Mastercard and payment providers such as Adyen, PayPal, Stripe or similar is an advantage, not a requirement.
