Commertial / Corporate / Data Privacy Expert (Сyprus, on-site)

We are looking for a Generalist Lawyer based in Cyprus, Larnaca (on-site).

   Responsibilities

• Legal expertise of purchase and sale agreements, supply of goods, contracting, agency, distribution agreements, loan agreements, license agreements, SaaS, PaaS agreements, etc.
• Advising management on M&A (mergers and acquisitions) transactions, preparation of corporate contracts and documents.
• Preparation, review, and legal analysis of constituent documents (charters, regulations, internal rules), and other documents of the executive bodies of enterprises.
• Ensuring compliance with corporate procedures in accordance with legislative requirements.
• Development of documentation related to compliance with legislative requirements for personal data processing (consents, notifications); development and legal expertise of agreements related to personal data processing (DPA, SCC), and intra-group agreements.
• Development and legal expertise of internal regulatory documents of an imperative (policies) and advisory (instructions, guidelines) nature related to personal data processing.
• Advising internal stakeholders on personal data protection legislation, assessment of business processes and new products/practices related to personal data processing.
• Development of documentation related to compliance with legislative requirements for the use of artificial intelligence.
• Development and legal expertise of internal regulatory documents of an imperative (policies) and advisory (instructions, guidelines) nature related to the use of artificial intelligence.
• Advising internal stakeholders on legislation regarding the use of artificial intelligence, assessment of business processes and new products/practices related to the use of artificial intelligence.
• Development and legal expertise of internal regulatory documents for group companies, including policies, instructions, and recommendations.
• Advising on the development, modification, and application of internal regulatory documents for group companies.
• Monitoring of legislative changes in domain areas affecting group companies in the Cyprus jurisdiction; timely reporting of such changes to senior management.
• Analysis of identified legislative changes with reports on their possible impact on the group's activities.
• Development, analysis, and updating of employment contracts and supplementary agreements.
• Advising on the conclusion, modification, and termination of employment contracts.
• Providing legal advice to employees and management on compliance with labor legislation.
• Preparation of documents for hiring (contracts, resolutions, etc.) and dismissal procedures (including employer initiative or staff reduction).
• Preparation of claims and conducting negotiations for pre-trial dispute settlements.
• Analysis of counterparty claims and preparation of responses.
• Implementation of measures to minimize litigation risks.

• Advising management on operations with virtual assets, their issuance, circulation, and specific regulatory requirements in selected jurisdictions.

   

   Job requirements

• 3-5 years of experience as the in-house lawyer or legal counsel (or combined) in holding companies.
• Expertise in Commercial Law, also Сorporate Law, Data Privacy Law.
• EU diploma in Law or equial qualification from the EU/UK university recognised in Cyprus.

• Knowledge of Languages: English - B2 strong- C1 , Ukrainian will be an advantage.
